Association


According to the Articles of Association of Oporto British School, all Parents or Legal Guardians of current pupils are eligible to become Interim Members of the Association, as long as they request this and pay the annual membership fee. This will give them rights to both attend the Annual General Meeting and vote on all reports and proposals presented. Parents or Legal Guardians who are not Interim Members, are able to attend the Annual General Meetings, but are not entitled to vote.

If you wish to request Interim Membership of the Association of Oporto British School, please complete the application form below and email it to joana.saraiva@obs.edu.pt The membership fee has been set by the Board of Governors at €10 per year.

NOTICE OF THE ANNUAL GENERAL MEETING

TO BE HELD ON MONDAY 29 NOVEMBER 2021 AT 18.30 HOURS

In these extraordinary times we are proposing to run a virtual Meeting and votes shall be expressed by show of hands.

 

AGENDA

 

1. To discuss and approve the Annual Report and Financial Statements for the academic year 2020/2021, which ended on 31 August 2021.

2. To re-elect Ernst & Young as External Auditor for the current academic year 2021/2022, ending on 31 August 2022.

3. To ratify the co-option of Maria João Carrapato to the Board of Governors as required by Clause 5 of Article 10 of the Statutes. As required by clause 9 of Article 10, one year has elapsed since the termination of Maria João Carrapato’s last mandate as governor.

4. To re-elect Johnny Symington for a second mandate as the Chair of the Nominations Committee.

5. Any other business.

 

QUORUM

Annual General Meetings shall be legally constituted when at least fifty percent of the members are present or represented. Should a quorum not be obtained by the time indicated in the notice convening the General Meeting, the same meeting will be held half an hour later, with any number of members present or represented constituting a quorum.

 

PROXIES

At General Meetings members may be represented by proxy in writing for specific items on the agenda except "other business”. No member present may hold more than two proxies, except for the Chair of the General Meeting. However, the proxies held by the Chair must include the voting intention for each specific item on the agenda, except "any other business” for which proxies cannot be granted.
